Non-disclosure agreement (NDA)

This non-disclosure agreement (the “Agreement”) is entered into between you, as the owner of the idea (the “Customer”), and 8020 Software Factory, part of Skjld Labs AS (a company being established in Norway) (“8020”, “we” or “us”), to govern the exchange and use of information in connection with the assessment and potential delivery of projects.

1. Definition of confidential information

“Confidential information” includes:

  • All information you share with us about your specific business idea, business model, customer base, marketing strategy and financial information
  • Personal data and contact information
  • Information marked as confidential

Confidential information does NOT include:

  • General concepts, methods and techniques commonly known in the industry
  • Our existing knowledge, methodology and working methods
  • Generic functionality that can be used in multiple projects
  • Open-source components and standard solutions

2. Use of information

2.1 Our obligations

  • We will treat your specific business information as confidential
  • We will not develop competing products based on your unique business idea
  • We will not share your confidential information with third parties without your consent

2.2 Our rights

8020 / Skjld Labs AS retains the right to:

  • Use general knowledge, experience and skills acquired during the project
  • Develop similar solutions for other customers, provided they do not copy your specific business model or compete directly with you
  • Reuse generic components, libraries, frameworks and methods in other projects
  • Retain and further develop our existing technology and methodology
  • Use anonymised case studies for marketing purposes (without disclosing confidential information)

3. Independent development

You acknowledge that 8020 / Skjld Labs AS works with many customers and projects and may:

  • Receive similar ideas from other sources
  • Develop its own products or services that may resemble your idea
  • Work with customers in the same or similar industries

This Agreement does not prevent us from carrying out such activities, provided that we do not use your confidential information in breach of this Agreement.

4. No transfer of rights

This Agreement does not transfer any intellectual property rights between the parties. You retain all rights to your idea, and we retain all rights to our technology, methods and existing solutions.

5. No guarantee of cooperation

This Agreement does not oblige either party to enter into a collaboration. Either party is free to decline further cooperation without giving a reason.

6. Duration

Our obligations concerning your confidential business information apply for 3 (three) years from the date you submit your idea. This does not affect our right to use general knowledge and experience.

7. Right to reject

8020 / Skjld Labs AS reserves the right to reject submitted ideas with or without giving a reason. This may include, but is not limited to, ideas that do not fit our business model, capacity or area of expertise.

8. Exceptions

The confidentiality obligations do not apply to information that:

  • Was or becomes publicly known without a breach of this Agreement
  • Was known to us before we received it from you
  • Is developed independently by us without using confidential information
  • Is lawfully received from third parties
  • Must be disclosed under law or a binding legal order

9. Limitation of liability

8020 / Skjld Labs AS is not liable for indirect or consequential loss. Our total liability under this Agreement is limited to direct, documented loss and will not exceed NOK 50,000.

10. Jurisdiction and governing law

This Agreement is governed by Norwegian law. The parties will attempt to resolve any dispute amicably. If this is unsuccessful, the dispute will be decided by the ordinary courts of Norway, with venue in Norway.

11. Consent

By checking the box to accept this Agreement in the form, you confirm that:

  • You have read and understood the terms
  • You have the right to share the information you submit
  • You understand and accept 8020’s rights as described above
  • You are of legal age and have authority to enter into this Agreement
