Terms of use

These terms govern your use of 8020 Software Factory’s services. By using our services, you agree to these terms in full.

1. About 8020 Software Factory

8020 Software Factory is part of Skjld Labs AS (a company being established in Norway). 8020 Software Factory (referred to below as “8020”, “we”, “us” or “our”) provides software development based on the 80/20 principle—80% of the functionality for 20% of the price. We specialise in identifying and delivering the core functionality that creates the most value.

2. Description of services

Our services include:

  • Assessment of project ideas
  • Preparation of cost estimates
  • Software development and implementation
  • Technical advice
  • Maintenance and support (under a separate agreement)

3. Idea submission and assessment

3.1 Submitting ideas

  • When you submit an idea, you warrant that you have the right to share the information
  • All information must be true, accurate and complete
  • You must accept our non-disclosure agreement (NDA) before submitting

3.2 Assessment and cost estimate

  • We provide free, no-obligation cost estimates within 2–3 working days
  • Cost estimates are valid for 30 days
  • Estimates are based on the information you provide and may change if requirements change

4. Project delivery

4.1 Agreement

  • Projects begin only after written acceptance of the cost estimate
  • Detailed project terms are agreed separately for each project
  • Changes in scope may result in adjusted costs and time frames

4.2 The 80/20 principle

By accepting our proposal, you acknowledge that we deliver 80% of the functionality—the features that create the most value. This means that certain “nice-to-have” features are deliberately omitted to keep costs down.

5. Prices and payment

  • All prices are stated exclusive of value added tax (VAT)
  • Invoices are issued according to the agreed payment schedule
  • Payment is due within 15 days of the invoice date unless otherwise agreed
  • Late-payment interest is charged in accordance with Norway’s Late Payment Interest Act

6. Intellectual property rights

6.1 Your rights

  • You retain all rights to your original idea and business concept
  • You receive full ownership of the developed software once payment has been made in full

6.2 Our rights

  • We retain the rights to generic components, libraries and methods
  • We may use anonymised experience to improve our services
  • We may refer to the project as a reference (with your consent)

7. Confidentiality

All confidential information is handled in accordance with our separate non-disclosure agreement (NDA). The parties undertake to keep all confidential information secret for 3 years after the project ends.

8. Warranties and limitation of liability

8.1 Warranties

  • We warrant that the developed software will function in accordance with the agreed specification
  • The warranty period is 3 months from delivery
  • The warranty does not cover faults caused by changes, misuse or external factors

8.2 Limitation of liability

  • Our total liability is limited to the contract price
  • We are not liable for indirect loss, lost profit or consequential loss
  • The limitation of liability does not apply in cases of gross negligence or wilful misconduct

9. Force majeure

Neither party is liable for delays or failure to perform obligations caused by circumstances beyond its control, including but not limited to natural disasters, war, strikes, pandemics or government action.

10. Privacy

Personal data is processed in accordance with our privacy policy and applicable data-protection law.

11. Changes to the terms

We reserve the right to amend these terms. Changes apply to new projects from the date of publication. Existing agreements continue under the terms that applied when the agreement was entered into.

12. Disputes and governing law

These terms are governed by Norwegian law. Any dispute should first be resolved through negotiation. If no resolution is reached, the dispute will be decided by the ordinary courts of Norway, with venue in Norway.
